These Terms of Service ("Terms") govern your access to and use of our websites nexronsolutions.co.nz and nexronsolutions.com, our client dashboard at dashboard.nexronsolutions.com, our demo platform at demo.nexronsolutions.com, and our related products and services, including AI automation, payment processing, and other software tools (collectively, the "Services").

By using our Services, you agree to these Terms. If you do not agree, you must not use our Services.

Nexron Solutions provides AI-driven automation and integration services designed to enhance business efficiency. Our services include:

• Nexron Vision: AI-powered visualization tools that help customers see transformations before purchase (e.g., wheels on cars, furniture in rooms, paint on houses). Includes AI image generation, lead capture, and product catalogue browsing
• Nexron Engage: Automated email outreach that follows up with Vision leads using the specific products they viewed — personalised drip email sequences with open/click tracking, smart cancellation on conversion, and one-click unsubscribe
• Nexron Capture: Lead intelligence layer that collects contact details, product context, and interaction data, syncing to our dashboard or your CRM with AI-powered analytics
• Nexron Revive: AI-powered reactivation campaigns that wake up dormant leads through personalized outreach via email, SMS, WhatsApp, or phone prompts
• Nexron Apps: Custom AI-powered web applications including client portals, quote calculators, product finders, unified dashboards, and internal business tools
• Nexron Bespoke: Fully customized AI infrastructure built around your unique business challenges, manual processes, or complex workflows
• Nexron Funnels: Custom lead qualification funnels with branching logic, conditional questions, and AI-generated recommendations to guide customers to the right solution
• Nexron Reputation: Automated review management that sends review requests, directs positive feedback to Google, and privately captures negative feedback for your team

Our Services may integrate with third-party tools to deliver full automation capability (see Section 12).

3. Eligibility

• The Services are intended for business use only
• Users must be at least 18 years old and capable of entering into a binding agreement
• Our Services are available worldwide, with no geographic restrictions, subject to applicable local laws

4. Payment Terms

All prices are in New Zealand Dollars (NZD) unless otherwise stated.

• Currency: All prices listed on our website are in New Zealand Dollars (NZD) unless otherwise stated
• Subscription Fees: Certain Services require a monthly subscription or one-time setup fee as specified at the time of purchase. Setup fees are one-time charges payable at the time of purchase. Monthly subscription fees begin upon service activation
• Free Trials: We may offer limited free trials or free-tier usage (such as the Vision free preview). Continued use beyond free-tier limits requires payment
• Refund Policy: All payments are generally non-refundable, including for partial months or unused features. Refunds may be considered at our sole discretion in cases of services not delivered as agreed or technical issues preventing service delivery. All refund requests must be made within 14 days of purchase
• Payment Method: Payments are processed securely via Stripe. By making a purchase through our website, you agree to Stripe's Terms of Service. We do not store or have access to your full credit card details
• Late or Failed Payments: We reserve the right to suspend or terminate your account and dashboard access for non-payment

5. Custom Development Projects

For bespoke AI automation and custom development work:

• Project scope and deliverables will be agreed in writing before work begins
• Changes to scope may incur additional fees, which will be communicated before work proceeds
• Client is responsible for providing necessary assets, content, access credentials, and feedback in a timely manner
• Delays caused by client non-response may extend project timelines
• Final payment is due upon project completion and delivery
• Ownership of custom work transfers to client upon full payment

6. Account and Dashboard Access

• Clients with Vision Growth or Pro subscriptions receive access to the Nexron Dashboard at dashboard.nexronsolutions.com
• You are responsible for maintaining the security of your login credentials. Do not share your account details with unauthorised individuals
• We may suspend dashboard access if we detect unauthorised use, security concerns, or if your subscription lapses
• Dashboard data (analytics, lead information, ad configurations, demo settings) is provided for your business use only and must not be shared publicly or with competitors
• Ad images and demo assets uploaded through the dashboard are stored securely in cloud storage and remain accessible for the duration of your subscription

7. User Responsibilities

You agree to use our Services lawfully and responsibly. You must not:

• Use our AI tools for illegal, harmful, or misleading purposes
• Upload or share content that infringes third-party intellectual property
• Upload images to Nexron Vision that contain illegal, harmful, offensive, or inappropriate content
• Attempt to interfere with or disrupt our systems, or reverse engineer our software
• Misuse or exploit the AI models in ways that violate third-party terms of service
• Abuse, manipulate, or attempt to exploit the Nex AI chat assistant through prompt injection, impersonation, or other adversarial techniques
• Use our services to send spam or unsolicited communications
• Submit fake, fraudulent, or disposable contact information through our forms
• Share or redistribute demo access links provided for your exclusive evaluation
• Resell or redistribute our services without written permission

8. Company Rights

We reserve the right to:

• Suspend or terminate any account that violates these Terms or applicable law
• Modify, update, or discontinue our Services at any time, with or without notice
• Change pricing or features at our discretion, with notice where legally required
• Remove or refuse any content that we determine violates these Terms
• Set and enforce usage limits, rate limits, and generation caps on AI features to maintain service quality and prevent abuse
• Expire or revoke demo access at any time and for any reason
• Block or reject submissions containing fake, disposable, or fraudulent contact information

9. Intellectual Property

• All software, AI models, algorithms, and branding are the intellectual property of Nexron Solutions
• All client data and uploaded content remain the property of the client
• AI-generated outputs are provided solely for the client's permitted and lawful use
• AI-generated images produced through Nexron Vision (such as wheel visualizations) are computer-generated composites provided for preview and marketing purposes. They should not be represented as photographs
• Product images displayed within the Vision tool (e.g., wheel images from third-party catalogues) remain the intellectual property of their respective owners
• Clients must ensure that their use of AI outputs complies with applicable laws and does not infringe others' rights
• We may showcase completed projects in our portfolio unless client requests otherwise in writing

10. AI-Specific Policies

Our Services involve integration with AI platforms. By using these features, you acknowledge that:

• AI outputs may contain inaccuracies, biases, or errors, and should not be relied upon as factual or professional advice
• Nexron Solutions disclaims all responsibility for damages resulting from reliance on AI-generated content
• You agree not to use the AI for illegal, harmful, or unethical purposes
• We may enforce fair use limits or API rate caps to maintain service quality
• AI recommendations (including those from the Growth Engine) are suggestions only and do not constitute professional business, legal, or financial advice
• The Nex AI chat assistant provides general information about our services. It does not provide legal, financial, or professional advice, and its responses should not be treated as binding commitments from Nexron Solutions
• AI-generated visualizations (Nexron Vision) are approximate previews only. Actual product appearance may differ from generated images due to lighting, angle, colour calibration, and other variables
• We use AI services from Google (Gemini) for image generation, text processing, and chat conversations. Your uploaded images and text inputs are sent to these AI providers for processing and are subject to their respective terms and privacy policies

11. Automated Email Communications

• By providing your email address through our lead capture forms (Vision, Growth Engine, contact form, calendar booking), you consent to receiving automated follow-up emails related to our services
• These emails are sent as a limited sequence (typically 3-4 emails over 7-10 days) and are not ongoing marketing newsletters
• You may unsubscribe from these communications at any time using the unsubscribe link included in every email. Unsubscribe requests are processed immediately
• Unsubscribing from automated follow-up emails does not affect transactional communications (e.g., booking confirmations, payment receipts, account notifications)
• If you book a discovery call or make a purchase, any pending automated follow-up emails will be automatically cancelled

12. Third-Party Services

Our Services integrate with the following third-party platforms:

• Google Gemini: AI processing for image generation, business recommendations, and chat conversations
• Claude (Anthropic): AI assistant for content generation and automation
• Stripe: Secure payment processing for online purchases
• Supabase: Secure database infrastructure and authentication
• Cloudflare: API hosting, CDN, edge computing, and cloud storage (Workers, R2)
• n8n: Workflow automation platform
• Netlify: Website hosting services
• Google Calendar: Discovery call scheduling and appointment management
• Gmail: Sending booking confirmations, contact notifications, and automated outreach emails
• Google Analytics (GA4): Website analytics and conversion tracking
• GoHighLevel: CRM and marketing automation (used for select client integrations)
• Twilio: Communication and messaging services (used for select client integrations)

Your use of our Services is also subject to the terms of service and privacy policies of these third-party providers.

13. Demo Platform

• Nexron may provide personalized demo experiences via demo.nexronsolutions.com for evaluation purposes
• Demos are time-limited (typically 48-72 hours) and intended for the specific recipient only
• Demo access does not constitute a free trial, ongoing service agreement, or commitment to purchase
• We track demo usage (page views, product interactions, AI generations) to measure engagement and improve our services
• Demo access may be extended, modified, or revoked at our sole discretion

14. Limitation of Liability

To the maximum extent permitted by law:

• Nexron Solutions provides the Services "as is" and "as available", without warranties of any kind
• Nexron Solutions is not liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity
• Our total liability for any claim related to the Services shall not exceed the total amount you have paid to Nexron Solutions in the past 12 months
• We are not responsible for any third-party service outages or failures, including but not limited to AI provider downtime, payment processor issues, or hosting disruptions
• AI-generated images and recommendations are provided without warranty of accuracy, completeness, or fitness for any particular purpose
• Nothing in these Terms excludes or limits any rights you may have under the New Zealand Consumer Guarantees Act 1993 or any other rights that cannot be excluded or limited by law

15. Termination

• You may cancel your account or subscription at any time by contacting us or using your account settings
• Nexron Solutions may terminate your access at any time, for any reason, including violations of these Terms or failure to pay
• Upon termination, your access to all Services (including the Dashboard and any active demos) will cease, and your data will be deleted according to the retention periods specified in our Privacy Policy
• You may request access to, correction of, or deletion of your personal data at any time by contacting us at Nexronsolutions@gmail.com. We will respond within 20 working days as required by the New Zealand Privacy Act 2020. See our Privacy Policy for full details
• Sections relating to intellectual property, limitation of liability, and governing law survive termination

16. Governing Law and Dispute Resolution

• These Terms are governed by the laws of New Zealand, including the Privacy Act 2020 and the Consumer Guarantees Act 1993 where applicable
• Any disputes shall be resolved through good-faith negotiation, and if unresolved, submitted to the exclusive jurisdiction of New Zealand courts

17. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on our website, and continued use of our Services constitutes acceptance of any changes.
